Subscription Agreement & Auto-Renewal Compliance Policy
1.1 Overview
Gavers operates a subscription-based service model for the provision of employee gifting, wellbeing, and corporate engagement solutions. All subscriptions are governed by a written agreement that sets out service scope, billing frequency, renewal terms, and cancellation rights.
1.2 Contract Formation
A subscription agreement is formed upon: Acceptance of an order form, framework call-off, or online checkout acceptance, Confirmation of commercial terms and pricing. Each subscription is a standalone contract unless otherwise stated in a framework agreement.
1.3 Auto-Renewal Terms (Transparency & Fairness)
Where applicable, subscriptions operate on an auto-renewing basis: Renewal period: [monthly / annually as agreed], Notice period: minimum 30–90 days prior to renewal (as contractually agreed)
Renewal mechanism: Contracts renew automatically unless written notice of cancellation is provided before the renewal notice deadline

1.4 Pre-Renewal Notification (Best Practice Compliance)

1.5 Changes to Pricing or Terms; Any price increase or material change will be communicated at least one billing cycle in advance (or 30 days minimum). Customers may cancel before changes take effect.
Subscription & Purchase Agreement
By completing your purchase, you confirm that: You are purchasing a recurring subscription service from Gavers. You authorise us to charge your selected payment method on a recurring basis (monthly or annually depending on plan). ou understand that your subscription will automatically renew until cancelled. You can cancel your subscription at any time before the next billing cycle. You agree to our Terms & Conditions and Privacy Policy. You acknowledge that personalised or dispatched orders may not be eligible for cancellation under distance selling regulations once fulfilment has begun
We will always clearly display your billing amount and renewal frequency before payment is taken.
2) Cancellation Policy
2.1 Standard Cancellation Rights
Customers may cancel their subscription: At any time subject to contractual notice period. Effective at the end of the current billing cycle unless otherwise agreed
2.2 Cancellation Method
Cancellation must be submitted via: Written email confirmation, or, Account dashboard cancellation function (where available), or, Contractual notice route for procurement clients
2.3 Cooling-Off Period (Where Applicable)

Gavers commercial framework is designed to align with UK procurement expectations: Clear Scope of Services, Defined pricing schedule, Service levels (where applicable), Data protection obligations, Termination rights, Audit and compliance rights (where required)
3.2 Pricing & Payment: Pricing is fixed or indexed as agreed in the contract
Payment terms: Payment is due upon receipt of invoice unless otherwise specified within an agreed framework, contract, or procurement agreement, No hidden or post-contract charges unless explicitly agreed
3.3 Transparency & Non-Exclusivity
No exclusivity unless expressly agreed
No guaranteed volumes unless contractually committed
3.4 Liability & Risk Allocation
Liability caps are commercially reasonable and proportionate
Exclusion of indirect or consequential loss (standard B2B practice)
3.5 Subcontracting
Subcontractors may be used but remain fully accountable to Gavers
Supply chain obligations extend to data protection and confidentiality compliance
3.6 Compliance with Public Sector Expectations
Gavers commits to alignment with: Transparency requirements in public procurement, Fair dealing and equal treatment principles, Record-keeping and audit support where required
4) Checkout Consent Wording & Legal UX
This section is designed for website checkout, SaaS signup flows, and procurement portals.
4.1 Core Checkout Consent Statement
At checkout or contract acceptance:
“By completing this purchase, you confirm that you are entering into a subscription agreement with Gavers. Your subscription will automatically renew at the end of each billing period unless cancelled in accordance with the cancellation terms.
